Applicable To: All vendors/service partners registered with WellBro Care Services.

1. Definitions

Platform: WellBro Care Services and its website, applications, or tools used to facilitate bookings.
Vendor/Partner: The service provider registering to deliver cleaning or related services.
Customer: The end user who books services via the Platform.

2. Independent Contractor Relationship

• You acknowledge and agree that you are an independent contractor.
• Nothing in this Agreement creates an employer-employee, agency, partnership, or joint venture relationship.
• You are solely responsible for operating your business, including hiring staff, paying wages, managing schedules, and complying with applicable laws.

3. Scope of Services

• You agree to provide cleaning and related services to Customers as booked through the Platform.
• You will ensure all services are delivered:
o Professionally and courteously.
o In compliance with applicable safety and hygiene standards.
o Using proper equipment and materials (unless otherwise agreed in writing).

4. Vendor Responsibilities

By agreeing to these Terms, you accept responsibility for:
• Delivering services strictly in accordance with booking details.
• Ensuring your staff are trained, verified, and professional.
• Maintaining your own materials, tools, and equipment.
• Handling all legal, tax, and employment obligations for yourself and any personnel you engage.
• Addressing any Customer complaints related to your service performance.
• Maintaining valid licenses, certifications, and insurance policies as required by law.

5. Liability and Indemnification

• You assume full liability for:
o Any damage to property, theft, injury, or loss caused during service.
o Any claims, complaints, penalties, or disputes arising from your services.
o Misconduct, negligence, or omissions by you or your personnel.
• You agree to indemnify, defend, and hold harmless WellBro Care, its directors, officers, employees, and affiliates from any third-party claims, losses, damages, liabilities, costs, or expenses resulting from:
o Your performance or non-performance of services.
o Your breach of this Agreement or applicable laws.
o Your staff’s actions or omissions.

6. No Employer-Employee Relationship

• You confirm that:
o WellBro Care does not employ you or your staff.
o You alone are responsible for compliance with labor laws, including but not limited to:
▪ Employee wages and benefits.
▪ Provident Fund (PF), Employee State Insurance (ESI), and
professional tax.
▪ Worker’s compensation and insurance coverage.
o WellBro Care will not provide employment benefits of any kind.

7. Service Quality and Conduct

• You and your staff must:
o Arrive punctually for all scheduled bookings.
o Wear clean and appropriate attire.
o Behave courteously and professionally.
o Refrain from smoking, consuming alcohol, or engaging in any misconduct during service.
• You shall not:
o Solicit or accept direct payments from Customers.
o Offer services privately to Customers outside the Platform.
o Use WellBro Care’s name or materials without authorization.
o Share Customer contact information for any purpose beyond fulfilling the
booking.

8. Platform Rights

• WellBro Care reserves the right to:
o Monitor your performance, ratings, and Customer feedback.
o Impose penalties, withhold payouts, or deduct Customer compensation for service failures.
o Temporarily suspend or permanently deactivate your account in cases of:
▪ Repeated negative feedback.
▪ Breach of these Terms.
▪ Fraud, theft, or unsafe practices.
o Modify this Agreement and policies with prior notice, which may be provided by email or through the Platform.

9. Payouts and Deductions

• You will receive payment of your agreed service fees, net of Platform service charges, penalties, adjustments, and applicable taxes, on a periodic basis.
• WellBro Care reserves the right to adjust or withhold pay-outs in cases of:
o Refunds or cancellations initiated by Customers.
o Verified complaints or negative ratings.
o Violation of Platform policies or failure to complete bookings as agreed.

10. Insurance

• You are solely responsible for:
o Maintaining appropriate third-party liability insurance to cover property damage, theft, or injuries.
o Maintaining worker insurance, including accident and health coverage for your staff.
• If you choose not to obtain insurance, you accept full personal liability for any related losses, claims, or damages.

11. Confidentiality

• You agree to keep all Customer information, booking details, and any WellBro Care business information confidential and not use or disclose it except as required to
perform your services.

12. Termination

WellBro Care may suspend or terminate your account immediately, with or without notice, if you:
• Repeatedly receive negative feedback or complaints.
• Fail to comply with these Terms or any applicable laws.
• Engage in fraud, theft, misconduct, or unsafe practices.
• Misrepresent your credentials, identity, or qualifications.
You may terminate this Agreement by providing written notice to WellBro Care. Any outstanding obligations or liabilities will survive termination.

13. Governing Law and Dispute Resolution

• This Agreement is governed by and construed under the laws of India.
• All disputes will be resolved exclusively by arbitration in New Delhi, in accordance with the Arbitration and Conciliation Act, 1996.
• You agree to waive any right to bring disputes in any other jurisdiction.

14. Acknowledgement

By checking the acceptance box, submitting your application, or continuing to use the Platform, you confirm that:
• You have read and understood these Terms & Conditions.
• You accept full responsibility for your services and staff.
• You agree to be legally bound by this Agreement.
